Terms of Service

Perfstaq (“we”, “us”) is operated by [Perfstaq legal entity name], a company incorporated in India with its registered office at [registered address]. These Terms are a contract between us and the person or organisation that creates an account (“you”).

If you accept these Terms for a company, you confirm you are authorised to bind it, and “you” includes that company.

Perfstaq gives each workspace its own address and a set of apps: Sign (electronic signatures), Sales (contacts and pipeline) and Board (whiteboards), plus Perfstaq for Mac, a dictation and meeting-notes app offered as a private beta. Workspaces can be driven from the dashboard or from AI assistants connected through our MCP connector.

We may change, add or remove features. If we remove a feature you pay for in a way that materially reduces the service, we will tell you in advance where we reasonably can.

Beta features (including Perfstaq for Mac) are provided as-is, may change or stop at any time, and are excluded from any service commitments.

• You must be at least 18 years old and give accurate information, including a working email address you have confirmed.
• You are responsible for your password, your access tokens and everything done through your account or the assistants you connect to it.
• Workspace owners and admins control membership, roles, enabled apps and billing for their workspace, and are responsible for the people they invite.
• Tell us promptly at [security@perfstaq.com (to be confirmed)] if you think your account or a token has been compromised.

When you connect an assistant (for example Claude, ChatGPT or Cursor), it acts with your role in one workspace. Actions we classify as risky, such as sending a document for signature or inviting someone, wait for a person to approve them; an approved action runs as the person who asked for it.

You remain responsible for what you ask an assistant to do and for what you approve. Assistants can make mistakes: review drafts, recipients and amounts before you approve or send anything.

Sign produces electronic records with signer consent, timestamps, IP address and device information, and a SHA-256 hash of each version, sealed with an audit certificate.

• We provide signing technology only. We are not a party to your agreements and do not verify the identity of signers beyond the email links you send them.
• Whether an electronic signature is valid and enforceable depends on the document, the parties and the applicable law. Some documents in India (for example certain negotiable instruments, powers of attorney, trusts, wills and contracts for the sale or conveyance of immovable property, as listed in the First Schedule to the Information Technology Act, 2000) cannot be executed by electronic signature. Aadhaar eSign and other certifying-authority signatures are not offered.
• Templates are starting points, not legal advice. Have a qualified lawyer review documents before you rely on them.

You must not use Perfstaq, or let anyone use it, to:

• send phishing, spam or unsolicited bulk email, or impersonate any person or organisation;
• create, send or collect signatures on fraudulent, deceptive or unlawful contracts, or on documents the signer has not had a fair chance to read;
• collect credentials, payment details or government identifiers under false pretences;
• upload malware, or content that is unlawful, infringing, defamatory, or that exploits children;
• probe, overload or bypass the security, rate limits or plan limits of the service, or access other workspaces' data;
• resell or sublicense the service without our written agreement.

We may suspend a workspace, revoke tokens or stop sending email on its behalf to stop abuse or comply with law, and will tell the owners where we lawfully can.

You own the documents, contacts, notes, boards and other content you put into Perfstaq (“Customer Content”). You give us a limited licence to host, process, transmit and display it only to provide and secure the service, as described in our Privacy Policy.

You confirm you have the rights and any consents needed to put Customer Content, including other people's personal data, into the service and to send documents to signers.

• Paid plans are billed monthly in Indian Rupees through Razorpay. Prices on our pricing page exclude GST and other applicable taxes, which are added at checkout.
• Subscriptions renew automatically until cancelled. You can cancel from Settings → Billing; the plan stays active until the end of the paid period. Fees already paid are non-refundable except where the law requires otherwise.
• If a payment fails, the workspace keeps its plan for a 7-day grace period, then moves to Free. Nobody is removed and nothing is deleted, but plan limits apply.
• We may change prices with at least 30 days' notice; the change applies from your next billing period.

Signed documents, their audit trails and certificates are kept for at least eight (8) years after completion so they can serve as evidence, even if a workspace is downgraded or closed, unless the law requires otherwise. Other Customer Content is deleted or anonymised within [90 days] of a workspace being closed. Details are in the Privacy Policy.

The service, its software, design and brand belong to us or our licensors. These Terms don't transfer any of it to you. Feedback you choose to give us may be used without obligation.

The service relies on providers such as Google Cloud (hosting and storage), Resend (email delivery) and Razorpay (payments), and works with assistants you choose to connect. Your use of an assistant is also governed by that provider's terms. We are not responsible for third-party services we don't control.

Except as expressly stated in these Terms, the service is provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose and non-infringement. Nothing in Perfstaq (including templates, AI-drafted text and follow-up drafts) is legal, tax or financial advice.

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, and our total liability arising out of these Terms in any twelve-month period is limited to the fees you paid us in that period (or [INR 10,000]if you are on the Free plan). These limits don't apply to liability that cannot be limited by law.

You can stop using the service and close your workspace at any time. We may suspend or terminate access for material breach of these Terms (including the acceptable-use rules), non-payment, or where required by law. Sections that by their nature should survive termination (including content ownership, retention of signed records, disclaimers, liability and governing law) survive.

These Terms are governed by the laws of India. Courts at [city, e.g. Bengaluru] have exclusive jurisdiction, subject to any mandatory consumer-protection rights you may have.

We may update these Terms. For material changes we will notify workspace owners by email or in the product at least 15 days before they take effect. Continuing to use the service after that means you accept the updated Terms.

Questions about these Terms, or complaints under the Information Technology Act, 2000 and its rules, can be sent to our Grievance Officer at [grievance@perfstaq.com (to be confirmed)]. We aim to acknowledge complaints within 24 hours and resolve them within 15 days.
